Terms and Conditions

• The details of the specific services will be outlined in a separate Project Proposal or Statement of Work, which will be considered part of these Terms by reference.
• By engaging with our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

• You agree to provide us with the necessary materials, information, and access required to complete the web development project as outlined in the individual project proposal.
• You are responsible for ensuring that you have the right to use any content you provide to us, including but not limited to text, images, videos, and any third-party materials. This includes obtaining any necessary licenses, permissions, or consents.
• You agree to review our work and provide feedback or approval in a timely manner. Delays in providing feedback may result in project timeline adjustments.
• You are responsible for maintaining the confidentiality of any login credentials we provide to you for accessing development or staging environments.

• Timeline: We will provide an estimated timeline for the Project in the Project Proposal. This timeline is subject to change based on Client responsiveness and any agreed-upon changes to the Project scope.
• Communication: We will provide regular updates on the Project progress. The primary method of communication will be agreed upon at the start of the Project (e.g., email, project management tool).
• Changes to Project Scope: Any changes to the agreed-upon Project scope must be submitted in writing and may result in additional costs and timeline adjustments.

• Upon completion of the website development, we will deliver the final product to you for review and acceptance.
• You will have 30 business days (the "Review Period") to review the website and request any minor adjustments or corrections that fall within the original Project scope.
• If you do not provide any feedback within the Review Period, the Deliverables will be deemed accepted.
• Major changes or new features requested after the Review Period may be subject to additional costs and a new agreement.
• After the Review Period or upon your written acceptance, whichever comes first, the Project will be deemed completed and accepted.

• Once the website is delivered and accepted, Not Boring shall not be liable for any mistakes, errors, or issues that occur on the website thereafter, unless explicitly covered by a separate maintenance agreement.
• We are not responsible for the ongoing maintenance, updates, or security of the website unless explicitly agreed upon in a separate maintenance contract.
• Not Boring will not be held responsible for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses. This includes situations where you may experience issues with using our services, unauthorized access to or use of our servers and personal information, interruptions or disruptions in transmission to or from our website, or any bugs, viruses, or similar issues that may be introduced by third parties.
• Our total liability for any claims under these Terms, subject to the jurisdiction and court decisions of India, shall not exceed the amount you paid for the applicable Project.

• Client Content: You retain ownership of any content you provide to us for use in the website development process, including text, images, and branding elements.
• Final Deliverables: Upon full payment, you will own the final website design and content created specifically for your Project. This includes custom graphics, written content, and the combination of elements that make up the final design.
• Source Files: Unless otherwise agreed in writing, source files (e.g., PSD files, working files etc) remain the property of both Not Boring and the client.
• Pre-existing Materials: Not Boring retains ownership of any pre-existing tools, libraries, systems, or code used in the development process. We grant you a non-exclusive, perpetual license to use these elements as part of your final website.
• Open Source Components: The website may incorporate open-source software components. These components are subject to their respective open-source licenses, which will be provided upon request.

• Payment terms will be as specified in the Project Proposal or contract, which generally includes a non-refundable deposit to secure the Project start date, milestone payments at key stages throughout the Project, and a final payment due upon Project completion and prior to the transfer of Deliverables.
• All invoices are due within 15 days of the invoice date, unless otherwise specified.
• We reserve the right to suspend work on the Project if payments are not made according to the agreed schedule.
• In the event of late payment, we reserve the right to charge interest at a rate of 6% per month on any overdue amounts.

• Each party agrees to hold the other's Confidential Information in confidence and not to disclose it to any third party without the other's prior written consent.
• "Confidential Information" includes, but is not limited to, business plans, financial information, proprietary technology, and client data.
• This confidentiality obligation survives the termination of our engagement for a period of 1 year, unless specified.

• Either party may terminate the service agreement with written notice if the other party breaches a material provision of these Terms and fails to cure such breach within 3 days of receiving notice.
• Upon termination, you agree to pay for all services rendered up to the date of termination.
• In the event of termination, we will transfer to you all Deliverables completed up to the termination date, provided all due payments have been made.

• We warrant that the Deliverables will substantially conform to the specifications set forth in the Project Proposal for a period of specified days following acceptance.
• Except as expressly stated in these Terms, we do not make any other warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

• You agree to indemnify and hold harmless Not Boring, its affiliates, officers, agents, employees, and partners from any claims, losses, damages, liabilities, including legal fees and expenses, arising out of your use or misuse of our services, your violation of these Terms, or your violation of any rights of a third party.

• These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.
• Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Adilabad, India.

• Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

• If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

• We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
• By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised Terms.

• These Terms, together with the Project Proposal and any other documents incorporated by reference, constitute the entire agreement between you and Not Boring regarding the subject matter herein and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.
